This User Agreement (hereinafter referred to as "This Agreement") is a rights and obligations entered into between you and Wuhan Chuangzhi Yicheng Technology Co., Ltd. (hereinafter referred to as "Chuangzhi Yicheng"), which is used to describe the detailed provisions of Chuangzhi Yicheng providing services to you through its products and your use of Chuangzhi Yicheng's services. Please read all the contents of this agreement carefully and carefully before using Chuangzhi Yicheng Services, and fully understand the terms of this agreement, especially the bold content.

1. [Content, effective, revision and termination of the agreement]

1.1 The content of this agreement and all various rules that Chuangzhiyicheng has issued or may be issued in the future are integral parts of this agreement and have the same legal effect as the agreement. Unless otherwise expressly stated otherwise, your use of Chuangzhiyicheng's services is subject to this Agreement.

1.2 You should carefully read all the contents of the agreement before using Chuangzhi Yicheng Services. If you have any questions about this agreement, you should consult Chuangzhi Yicheng in time. By using Chuangzhi Yicheng Services, or if you agree to these terms with the consent option appears in your interface, you agree to comply with this Agreement without adding or modifying any of the terms of this Agreement. If you do not agree, please stop registering or stop using Chuangzhi One City Service immediately. Once you accept these Terms, this Agreement shall be effective and bind you. If you continue to use Chuangzhi Yicheng Services, you will continue to abide by all the provisions of this Agreement.

1.3 Chuangzhi Yicheng has the right to modify this agreement by issuing announcements, notices and other reasonable means when necessary. When using Chuangzhi Yicheng Service, you should promptly review and understand the modified content and consciously abide by the relevant content of this agreement. If you continue to use Chuangzhi Yicheng Service, it will be deemed to be your consent to the modification of the content. When there is any dispute, the latest agreement shall prevail; if you do not agree to the modification of the content, please stop using Chuangzhi Yicheng Service.

1.4 Chuangzhi Yicheng is always constantly changing and improving services. Chuangzhiyicheng may add or delete some services, or may suspend or completely stop this service. You agree that Chuangzhiyicheng has the right to exercise the above rights and does not bear any responsibility to you or third parties.

2. [Account and usage specifications]

2.1 Registration process

If you want to use Chuangzhi Yicheng service, you must first log in to your account, or register an account approved by Chuangzhi Yicheng and log in. If you choose a third-party account approved by Chuangzhi Yicheng to log in to Chuangzhi Yicheng products, you should ensure the stability, authenticity and availability of the third-party account. If you are unable to log in to Chuangzhi Yicheng products due to third-party account reasons (such as the third-party account is blocked), you should contact the company to which the third-party account is affiliated. The account you log in to is the only basis for Chuangzhi Yicheng to confirm your identity.

You confirm that you are a natural person, legal person or other organization with full civil capacity and full civil capacity, and have the ability to independently assume responsibility for all your actions in using the services provided by Chuangzhi Yicheng. If you do not have the aforementioned subject qualifications, please read this agreement with your guardian. Chuangzhi Yicheng has the right to seek compensation from your guardian when you require you to bear responsibility in accordance with the law or the provisions of this agreement.

2.2 Account usage specifications

Account information includes but is not limited to all information entered when registering or resetting your account. When registering, logging in and using your account, you promise to abide by the bottom lines of laws and regulations, public order, social morality and information authenticity, and you must not have any illegal and bad information in your account information. You guarantee that when registering, logging in and using your account, you must not have the following circumstances:

(1) Violating the provisions of the Constitution or laws and regulations;

(2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity;

(3) It harms national honor and interests and harms public interests;

(4) Incite national hatred, ethnic discrimination, and undermine national unity;

(5) Undermine the national religious policies and promote cults and feudal superstitions;

(6) Spread rumors, disrupt social order, and undermine social stability;

(7) Disseminate obscene, pornography, gambling, violence, murder, terror or instigate crimes; insult or slander others, and infringe upon the legitimate rights and interests of others;

(8) Any form of fraud;

(9) Contains other contents prohibited by laws and administrative regulations.

If you register, log in, use account name, avatar, personal profile and other account information that contains illegal and bad information or contains incorrect or untrue information, Chuangzhi Yicheng has the right to take measures such as notifying you to correct the problem within a specified period of time and suspend the use. For those who impersonate related institutions or social celebrities to log in, use, fill in account name, avatar, personal profile and other information, Chuangzhi Yicheng has the right to cancel the use of the account and report to the government competent department.

2.3 If you use the call center function of Chuangzhi Yicheng Service, you must not engage in any outgoing call that harasses customers. The specific commitment is:

(1) Ensure that the source of outbound call data is legal and compliant, and no outbound call data is obtained by infringing the legitimate rights and interests of others. The use of such outbound call data does not infringe on others' privacy and legitimate rights and interests.

(2) Comply with the promise of harassing calls prohibited, and only conduct service outgoing calls such as customer service follow-up visits, information verification and service notifications after the user agrees, or other outgoing calls that are requested by customers. Any outgoing calls do not involve harassing calls and will not cause disgust or complaints from the person being called.

(3) Ensure that no outgoing calls will be made to customers who have no demand or have already clearly rejected it. The person who was called agrees to the previous call shall not be regarded as consenting to our next call.

(4) Ensure that outbound calls do not involve any commercial marketing activities and do not send commercial text messages.

(5) Ensure that the length, purpose and scope of application of the code number are not changed without authorization, and that the telecommunications network number will not be changed, hidden, impersonated, illegally transferred or rented.

(6) Any outgoing call behavior is carried out at a normal and reasonable time. Try to avoid the user's rest time and do not interfere with the normal production and life of the person being called.

If you violate the above commitments, Chuangzhi Yicheng has the right to deal with it unilaterally, including but not limited to: stopping the number and call service, closing the account, etc., the pre-deposit will not be refunded and compensated for the direct economic losses caused to Chuangzhi Yicheng. If Chuangzhiyi City is subject to administrative penalties due to your actions, you agree to bear all fines and compensate Chuangzhiyi City for other losses suffered by it.

2.4 You are responsible for the account you registered and used. You guarantee that only you can use your account. The account is not transferable, gifted, or inherited.

2.5 You should keep your account and password well. If you cause damage to yourself, Chuangzhiyicheng or third parties because you fail to keep your account and password well, you will bear all responsibility. In addition, you are solely responsible for all activities and events in your account. You agree that if you find any illegal use of your account or security breach, you will immediately notify Chuangzhi Yicheng. At the same time, you understand that Chuangzhiyi City takes a reasonable period of action on your request. Before Chuangzhiyi City takes measures, Chuangzhiyi City shall not bear any responsibility for the instructions that have been executed and the losses caused.

3. [Chuangzhi One City Service]

3.1 Service content

Chuangzhi Yicheng provides technical services including but not limited to incoming and outgoing calls, customer management, traffic and customer acquisition, private domain operations, work orders and other functional modules. Unless otherwise expressly provided in this Agreement, all services launched by Chuangzhi Yicheng are subject to the regulations of this Agreement. You have the right to choose the service content provided by Chuangzhi Yicheng and obtain the technical support provided by Chuangzhi Yicheng. You should choose the specific user members, service types, etc. in Chuangzhi Yicheng Services according to your own needs. Once your choice is made, it will be binding on you.

3.2 Service fees

Chuangzhi Yicheng's services may include paid services and free services, and the specific information released by Chuangzhi Yicheng shall prevail. If you use the charging services in Chuangzhi Yicheng Services, you should pay the relevant fees according to the billing standards and methods of the relevant agreements signed with Chuangzhi Yicheng.

The use of free services may require certain conditions to be met. The specific conditions shall be subject to the conditions published by the official website of Chuangzhi Yicheng. For free services, Chuangzhi Yicheng has the right to change the specific service content, service period and service standards of the free services based on actual conditions. For this reason, Chuangzhi Yicheng does not need to bear any responsibility to you.

Chuangzhi Yicheng may modify and change the charging standards and methods of charging services according to actual needs, or start charging some free services. Before the above modifications, changes or charges begin, Chuangzhi Yicheng should send you a notice in advance.

4. [Your rights and obligations]

4.1 On the premise of paying the corresponding fees, you have the right to obtain the Chuangzhi Yicheng services under this agreement and the relevant agreements.

4.2 If you find any errors or vulnerabilities in the service during the use of Chuangzhi Yicheng service, you can send a report to Chuangzhi Yicheng to inform you of the characteristics of the errors or vulnerabilities. After receiving such reports, Chuangzhi Yicheng provides you with feedback after verification.

4.3 You understand that Chuangzhi Yicheng Service only provides related software services. In addition, equipment related to related software services (such as personal computers, mobile phones, and other devices related to the Internet or mobile network) and the required fees (such as telephone charges and Internet access fees paid for the Internet access, and mobile phone charges paid for the use of mobile networks) shall be borne by you at your own expense.

4.4 If you use Chuangzhi Yicheng Service to conduct business, you should handle relevant approvals on your own. If you conduct such business without completing necessary approvals, the consequences caused have nothing to do with Chuangzhi Yicheng. If the losses are caused to Chuangzhi Yicheng and/or Chuangzhi Yicheng affiliated companies, you shall be responsible for the full compensation.

4.5 Chuangzhi Yicheng hereby solemnly reminds you that any information, materials, text, software, music, audio, photos, graphics, video, information, your registration information or other information (hereinafter referred to as the "Content") uploaded, posted or transmitted through Chuangzhi Yicheng is solemnly responsible for its uploading and use, whether it is publicly or privately (hereinafter referred to as the "Publishing"). You guarantee that when you use Chuangzhi Yicheng Service or publish content through Chuangzhi Yicheng Service, you will comply with national and local laws and regulations, industry practices and social public morality, and will not use Chuangzhi Yicheng Service to produce, copy, store, transmit, publish, and disseminate the following information and content:

(1) Any content (information) that violates national laws, regulations and policies;

(2) Political propaganda or news information that violates national regulations;

(3) Information involving state secrets or security;

(4) Feudal superstitious or obscene, pornographic, or obscene information or information that instigates crime;

(5) Gambling prizes and gambling games;

(6) Information that violates the national ethnic and religious policies;

(7) Information that hinders the safety of the Internet;

(8) Information that infringes upon the legitimate rights and interests of others;

(9) Other information or content that damages social order, social security, and public morality.

If you violate the above provisions, you shall bear all your responsibility. If your aforementioned illegal acts cause losses to Chuangzhi Yicheng and/or Chuangzhi Yicheng Customs affiliated companies, you shall be responsible for full compensation.

4.6 You may not transfer or partially transfer the services provided to you by Chuangzhi Yicheng without the permission of Chuangzhi Yicheng.

4.7 You should not install or use pirated software on your own system; if you use pirated or irregular software, Chuangzhi Yicheng will not be responsible for the unavailable service.

4.8 You shall not directly or indirectly engage in the following behaviors during your use of Chuangzhi Yicheng Service:

(1) Do not engage in any illegal and criminal activities;

(2) The services or software provided by Chuangzhi Yicheng shall not be modified, translated, adapted, rented, sublicensed, transmitted or transferred on the information network, nor shall the source code of the services or software provided by Chuangzhi Yicheng shall be discovered through reverse engineering, decompilation or attempting to other ways;

(3) Do not interfere with or attempt to interfere with the normal operation of any part or function of Chuangzhiyicheng in any way, including but not limited to using any plug-in, plug-in, system or third-party tools that are not authorized or licensed by Chuangzhiyicheng, or interfere with, destroy, modify or exert other influence on the normal operation of Chuangzhiyicheng and related services, or produce, publish, and disseminate the above tools;

(4) You may not add, delete, or change the functions or operating effects of Chuangzhiyi City by modifying or forging any means of operating instructions and data in Chuangzhiyi City, or operate software or methods for the above purposes or disseminate them to the public, regardless of whether these actions are commercial purposes;

(5) No robot programs, spider programs, crawler programs, scrapers or other automation methods or interfaces provided by WuChuangzhiyicheng shall be used to access services or extract data;

(6) No patent, copyright, trademark or other proprietary statement displayed or contained in Chuangzhi Yicheng Services shall be deleted, concealed, or changed;

(7) Do not send any unsolicited or unauthorized advertisements, inducement information, promotional materials, spam messages, chain messages or MLM information that are actively provided for the purpose of sending spam messages or other commercial messages, or conceal or distort the identity of the sender of the text message;

(8) Do not engage in false or misleading activities, including but not limited to submitting or publishing false information, or impersonating or publishing information in the name of others, or committing other misleading or deceiving others;

(9) Do not induce or force other users to click on links or share information;

(10) No legal rights such as reputation, portrait rights, intellectual property rights, commercial secrets, etc., including but not limited to unauthorized sharing of copyrighted music, pictures, videos, etc.;

(11) Do not obtain, collect or provide other users’ email addresses, communication numbers and other information to others unless they obtain their express consent;

(12) Do not use or attempt to use any account that you are not authorized to use;

(13) Do not avoid or try to avoid any content protection mechanism or data measurement tool of Chuangzhiyi City;

(14) Chuangzhi One City Service shall not use Chuangzhi One City Service to provide services that directly compete with Chuangzhi One City Service to third parties;

(15) You shall not engage in other acts that violate the provisions of laws and regulations, infringe on the legitimate rights and interests of others, or interfere with the normal operation of Chuangzhi Yicheng.

4.9 You must bear legal responsibility for your actions during the use of Chuangzhi Yicheng Service. The forms of your legal liability include but are not limited to: compensation for the infringing persons, and after Chuangzhi Yicheng first bears administrative penalties or infringement damages caused by your actions, you should give Chuangzhi Yicheng equal compensation. If you violate the above regulations, Chuangzhi Yicheng has the right to make an independent judgment and immediately suspend or terminate the provision of some or all of the services to you, including taking measures such as freezing, canceling account usage rights and deleting user content.

4.10 You are obliged to make your own judgment on the content provided by users other than you in Chuangzhi Yicheng and related services, and bear all risks arising from the use of the above content, including risks arising from the dependence on the authenticity, accuracy, completeness or practicality of such content. Chuangzhi Yicheng cannot and will not assume any responsibility for the authenticity, accuracy, completeness, practicality and timeliness of the content provided by other users, nor will it bear any liability for losses or damages caused by your trust in the above content.

4.11 When you access third-party websites or obtain products or services provided by third parties through or using Chuangzhi Yicheng Services, the user's risks and losses caused by third-party websites, programs (including mini programs) and their functions and content shall be borne by the user at his own expense. The disputes arising from this shall be resolved jointly by you and the third party, and Chuangzhi Yicheng shall not bear any responsibility. It does not provide any technical support or customer service support for third-party websites and programs (including mini programs).

5. [The rights and obligations of Chuangzhi Yicheng]

5.1 All copyrights, trademark rights, patents, trade secrets, proprietary technologies and other intellectual property rights of Chuangzhi Yicheng, except for the part involving third-party authorization and licenses, are fully and independently enjoyed by Chuangzhi Yicheng. The intellectual property rights of any pictures, videos, audio, text, boards, codes, documents, etc. contained in Chuangzhi Yicheng service are completely and independently enjoyed by Chuangzhi Yicheng. The entry into force of this Agreement does not mean that Chuangzhiyicheng makes any express or implied transfer, authorization or license to you of the above intellectual property rights. Unless otherwise agreed in this Agreement, you may not use, modify, copy, disseminate, change, distribute, publish or publish the above content without the written consent of Chuangzhi Yicheng, and may not create derivative products related to the above content, or authorize third parties to implement, utilize and transfer the above content by transfer/license. In case of any violation, you agree to bear all losses caused to Chuangzhi Yicheng and/or Chuangzhi Yicheng affiliated companies.

5.2 When you upload content to Chuangzhi Yicheng products, Chuangzhi Yicheng is given the right to use the content for free worldwide only if such use is for the following purposes:

(1) Provide you with better functions and services;

(2) Improve the quality of Chuangzhiyicheng's products and services.

5.3 Chuangzhi Yicheng detects complaints from other entities and its own monitoring technology that may harm Chuangzhi Yicheng, other users or other behaviors that violate this agreement. When investigating these issues, Chuangzhi City or its affiliates will review your content to investigate the true situation.

5.4 If after investigation, Chuangzhi Yicheng determines that your content has indeed violated this agreement, or Chuangzhi Yicheng has received complaints from other users, intellectual property infringement complaints, or other administrative/judicial orders requiring deletion, Chuangzhi Yicheng has the right to delete, restrict the dissemination or prohibit access to your content. In order to protect Chuangzhiyicheng's services or other users, and to ensure that the terms of this agreement are implemented, Chuangzhiyicheng has the right to take further actions, including but not limited to immediately suspending or termination of continuing to provide services to you, and keeping relevant records to report to the relevant competent authorities.

6. [Liability Limitation and Disclaimer]

6.1 Chuangzhi Yicheng shall not be responsible for losses caused by force majeure. Force majeure referred to in this Agreement includes: natural disasters, changes in laws and regulations or government directives, reasons unique to the characteristics of network services, such as failures of domestic and foreign basic telecom operators, damage to optical cables and other infrastructure, defects in computer or Internet-related technology, restrictions on Internet coverage, computer viruses, hacker attacks and other factors, as well as other unforeseeable, unavoidable and insurmountable objective situations within the legal scope.

6.2 Chuangzhi Yicheng itself does not upload or provide content directly, and does not make any modifications or edits to the content you transmit. Any disputes and/or losses arising from or possible arising from the use of relevant content or works between users or between users and other rights holders shall be resolved by you in consultation and assume corresponding responsibilities, and have nothing to do with Chuangzhi Yicheng. Chuangzhi Yicheng cannot guarantee the legality, correctness, completeness, authenticity or quality of the content.

6.3 Chuangzhi Yicheng Service will try its best to maintain its security and convenience for all services provided by it, but will not be liable for the deletion or storage of information (including but not limited to information published by you).

6.4 You understand that Chuangzhi Yicheng cannot guarantee that the services it provides are flawless, but Chuangzhi Yicheng promises to continuously improve service quality and service level. So you agree: Even if the services provided by Chuangzhi Yicheng have flaws, the above flaws were unavoidable by the industry's technical level at that time, and they will not be regarded as Chuangzhi Yicheng's breach of contract. You agree to work with Chuangzhi Yicheng to resolve the above defects.

6.5 Under no circumstances shall Chuangzhi Yicheng be liable for any indirect, accidental, special, punitive or other losses arising from or relating to your use or inability to use Chuangzhi Yicheng Services.

6.6 Chuangzhi Yicheng does not waive any right to limit, exempt or offset Chuangzhi Yicheng's liability for damages not mentioned in this Agreement to the maximum extent to which the law applies.

7. [Privacy Policy]

7.1 Respecting users’ personal privacy is a basic policy of Chuangzhiyi City. Therefore, Chuangzhi Yicheng will not disclose or disclose your registration information and non-public content saved in Chuangzhi Yicheng's services. You know and agree that in order to facilitate providing you with better services, Chuangzhi Yicheng will collect your personal information when you voluntarily choose services or provide information, and take necessary measures to ensure the security of this information.

7.2 Chuangzhi Yicheng understands and recognizes that you use Chuangzhi Yicheng services to generate, store, upload and download data [including but not limited to: call recordings, call records, voice transfer records, customer information (if any)], etc., are your business data, and you have the business data completely. Chuangzhi Yicheng should obtain the necessary authorization and consent of the right holder for the formation, storage and processing of the above business data, and comply with relevant regulations on the collection, processing and preservation of personal information. Chuangzhi Yicheng's own software, systems and platforms have all the intellectual property rights related to data, information and materials belong to Chuangzhi Yicheng.

7.3 Regarding business data, Chuangzhiyicheng will not conduct any unauthorized access, use and disclosure except for executing your service request (including but not limited to: faults and problem troubleshooting, etc.) and processing the business data you provide to Chuangzhiyicheng or other circumstances agreed in this agreement within the scope of your authorization; unless Chuangzhiyicheng believes that it is necessary to disclose this information on the basis of integrity in the following situations:

(1) Obtain your express authorization in advance; or

(2) Comply with relevant laws and regulations, including providing your registration information, the information you published on Chuangzhiyicheng's products and its release time, Internet address or domain name when inquiring by relevant state agencies; or

(3) Maintain and maintain the intellectual property rights and other important rights of Chuangzhiyi City; or

(4) Do your best to maintain your personal and public privacy and security in an emergency; or

(5) In accordance with the relevant provisions of this agreement or other circumstances deemed necessary by Chuangzhi Yicheng.

7.4 Chuangzhi Yicheng may cooperate with a third party to provide you with related services from Chuangzhi Yicheng. In this case, if the third party agrees to assume the same responsibility as Chuangzhi Yicheng to protect user privacy, Chuangzhi Yicheng may provide your information to the third party. The specific privacy policy terms can be found in the "Chuangzhi Yicheng Personal Information Protection Policy" you read and agree to when registering.

7.5 You understand and agree that Chuangzhi Yicheng has the right to provide it with the necessary information you submit to Chuangzhi Yicheng or stored on Chuangzhi Yicheng servers in the use of Chuangzhi Yicheng services at the request of the competent department. If you are suspected of infringing on the legitimate rights and interests of others, Chuangzhi Yicheng has the right to provide the rights holder with the necessary information about you if the suspected infringement occurs.

8. [Others]

8.1 Service suspension, interruption and termination

Chuangzhi Yicheng may choose to suspend, interrupt and terminate services based on its own business decisions and other reasons. If such a situation occurs, Chuangzhi Yicheng will notify you in the form of an announcement.

You agree that for reasons such as enforcing the orders of administrative/judicial authorities, maintaining the security of Chuangzhiyicheng's services, maintaining the normal use and data security of other persons, and responding to infringement claims of other subjects, Chuangzhiyicheng has the right to temporarily or permanently freeze (revoke) the rights of your account in Chuangzhiyicheng, and do not bear any responsibility to you or any third party for this, but Chuangzhiyicheng has the right to continue to save data information related to the account.

When the following situations occur, Chuangzhi Yicheng has the right to terminate this agreement directly by canceling the account, and has the right to permanently freeze (revoke) the permissions of your account in Chuangzhi Yicheng products:

(1) The main content in your information you provide is untrue, inaccurate, timely or incomplete;

(2) When this agreement (including rules) is changed, you expressly and notify Chuangzhi Yicheng that it is unwilling to accept the new service agreement;

(3) Other situations in which Chuangzhi Yicheng believes that the service should be terminated.

After your service is terminated, the right to use Chuangzhi Yicheng Service will be terminated immediately, and your license to use the software related to the service will also be terminated. After the service is terminated, Chuangzhi Yichuang will disable your account and have the right to delete your content. In accordance with the provisions of these terms, Chuangzhi Yicheng shall not bear any responsibility for the deletion of your content.

8.2 Confidential

You and Chuangzhi Yicheng shall keep secrets about the other party's business secrets and other confidentialities and information, the content of the service and agreement, and the relevant information and documents generated during your use of Chuangzhi Yicheng's services (hereinafter collectively referred to as "confidential information"); the confidential information shall not be disclosed, given or transferred to third parties without written consent. These confidentiality terms are not terminated by the termination of this Agreement.

8.3 Notification

All notifications sent to you can be delivered by email, regular letters, or notices prominently on the website. In order to enable you to understand the services provided by Chuangzhi Yicheng in a timely and comprehensive manner, you agree that Chuangzhi Yicheng can send you various commercial short messages multiple times and for a long time without obtaining your consent separately.

8.4 This agreement shall be subject to the laws of the People's Republic of China (excluding conflict laws). When any content of this agreement conflicts with the laws of the People's Republic of China, the provisions of the law shall prevail, and the relevant content will be modified or reinterpreted in accordance with the provisions of the law, and the legal effect of other parts of this agreement remains unchanged. Any dispute arising out of or related to this Agreement shall be submitted to the Beijing Arbitration Commission for arbitration in accordance with the current arbitration rules in force in the Council when applying for arbitration, and shall be heard by three arbitrators. The arbitral award is final and binding on both parties.

8.5 This agreement shall be implemented from the date of its publication and constitutes a consensus between you and Chuangzhi Yicheng.

8.6 The failure of Chuangzhi Yicheng to exercise, fail to exercise in a timely manner, or fail to fully exercise the rights enjoyed in this Agreement or in accordance with the law shall not be deemed to be a waiver of the right, nor shall it affect the exercise of Chuangzhi Yicheng to exercise the rights in the future.
